1. Overview
Plain Speak Online Services ("PSOS", "we", "our", "us") provides digital services including website development, online bookings and payment systems, SEO, reputation management, marketing automation, and software consulting.
By using our services or accessing our website, you explicitly agree to these Terms of Service.
2. Services Provided
Tailored services include:
- Website design and hosting
- Online booking/payment setup
- Local SEO and reputation management
- Marketing automation setup
- Software advisory and implementation
- Ongoing website support
Some services include access to our white-labeled software platform.
3. Payment Terms
- Payments via Stripe or direct bank transfer
- 50% upfront; remainder upon completion unless otherwise agreed
- Month-to-month ongoing services, no lock-in
- Payment terms: 7 days from invoice
Late payments (over 30 days) may incur a 5% monthly late fee. Persistent non-payment may result in service suspension or termination.
4. Refunds and Cancellations
Due to the tailored nature of our services, refunds are generally not provided for work that has been completed as agreed. Exceptions may be considered at our discretion as outlined in individual service agreements.
However, our services come with guarantees under the Australian Consumer Law that cannot be excluded. If our services fail to meet a consumer guarantee (for example, services are not provided with due care and skill, or are not fit for a particular purpose that was made known to us), you may be entitled to a remedy including a refund, re-supply of the service, or compensation.

5. Client Responsibilities
You agree to:
- Provide accurate, timely information
- Review/approve deliverables promptly
- Ensure your business complies legally beyond our technical delivery
6. Intellectual Property
Unless stated in writing:
- You retain ownership of provided content
- PSOS retains rights to templates, processes, tools unless custom-built
- Website designs/materials transferred upon final payment
7. Limitation of Liability
PSOS's liability for services shall not exceed total fees paid for the service in dispute. We are not liable for:
- Loss due to downtime/interruption
- Third-party software issues
- Changes post-project completion
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
8. Indemnity
You agree to indemnify, defend, and hold PSOS harmless from claims, damages, costs, or liabilities arising from your use or misuse of services or breaches of these terms.
9. Disclaimer on Advice
Recommendations provided by PSOS are offered in good faith but do not constitute legal, financial, or professional advice. You remain responsible for due diligence.
10. Dispute Resolution
Disputes must initially be addressed by direct negotiation. If unresolved within 30 days, mediation under Western Australian jurisdiction will follow.
11. Termination
You may terminate ongoing services anytime with written notice. Services already delivered or partially completed will be invoiced accordingly.
12. Updates to Terms
We may update terms at any time. Changes will be posted online, and significant updates communicated via email.
13. Governing Law
These terms are governed by Western Australian law. Disputes shall be subject exclusively to Western Australian courts.
